Five Key Elements to Confirm Before Starting OEM Channel Partnerships
Configure bundles, branding, packaging, delivery schedules, and after-sales responsibilities.
Private Label = ODM/OEM + Channel Distribution Binding. These five areas address business, compliance, delivery, ownership, and risk—ideal for aligning with channel partners upfront to prevent future disputes.
1. Product Compliance and Qualification Boundaries (Medical Devices Priority #1)
OEM Entity: Whose registration certificate and production license are used? Is it contract manufacturing under our own license, or entrusted production using the client's license?
Labeling requirements: Manufacturer name, registrant, and address on nameplates, instruction manuals, and outer packaging; barcode and trademark marking rules (NMPA labeling standards).
Verify whether the factory inspection report, accompanying documents, and bidding documents are permitted to bear the customer's brand.
Restricted Scope: Which models, configurations, and parameters are prohibited from being OEMed or having their marketing copy altered.
2. Trademarks, Brands, and Intellectual Property Rights
Trademark Ownership: Verify the validity of the client's trademark and whether it covers medical devices. Confirm if they have authorized us to manufacture and use the trademark, including the authorization period and geographic scope.
Intellectual Property Isolation: Covers design, structure, software, and patent ownership. Clients are prohibited from using our solutions to replicate products with other manufacturers.
Promotional Restrictions: Customers may not use our patents or test reports for marketing beyond the scope of OEM products.
Fallback: Liability Allocation for Infringement (Trademark vs. Patent)
3. Pricing, MOQ, and Settlement Rules (Channel Core)
OEM-exclusive factory pricing, tiered pricing, and price adjustment triggers (raw materials, configuration changes);
MOQ (Minimum Order Quantity), first trial order threshold, and inventory responsibility (who procures materials and whether consignment stocking is supported).
Payment method, payment term, deposit ratio, invoicing entity, and item description on invoice;
Channel Price Control: Enforce retail price caps, prevent low-price cross-region sales, and define penalties for violations.
4. Delivery, Model Updates, BOM, and Technical Confidentiality
Standard delivery lead time, sample lead time; additional mold modification fees for appearance/accessory/optional changes, and verification lead time.
BOM Locking: Is the Bill of Materials for the OEM version fixed? Must customers be notified in writing prior to any component changes?
Scope of access for drawings, 3D files, and technical documentation; Non-disclosure agreements in place; Technical documentation must not be leaked.
After-Sales Parts: Whether OEM model parts have unique SKUs, part supply pricing, and out-of-warranty repair pricing.
5. After-Sales Responsibility, Warranty, and Risk Allocation
Warranty period; warranty start date (factory, delivery, or acceptance); responsibility for repair and replacement within the warranty scope.
Customer Support Handoff: Whether channel partners handle end customers or we provide direct technical support; scope of responsibilities and travel cost allocation for on-site services.
Recalls and Adverse Events: Reporting entities and procedures for medical device adverse events.
Termination Terms: Handling of remaining packaging materials and inventory after order suspension; clients may not continue using our qualifications for production after cooperation ends.
